GOVERNING LAW.  This Agreement is governed and construed in accordance with the laws of the State of Ohio.  If any provision or part of a provision of this Agreement is found to be unenforceable, that provision shall be enforced to the maximum extent possible in order to give effect to the parties’ intentions, and the rest of this Agreement shall continue in full force and effect.
